Decree-Law No. 5/2005, Non-Profit Corporate Bodies (Timor-Leste)

The Decree-Law requires that non-governmental organizations (NGOs) be constituted in the form of an association or foundation, and considers the same as a legal entity which shall have corresponding rights and obligations. It further states that both corporate bodies shall be organized for non-profit purposes. It provides the rules on how NGOs shall be formed, their rights and obligations, and their liabilities as well as those of the NGOs' officers, among others. 

The Decree-Law also established pertinent rules for the establishment, revocation, conduct of meetings and grounds for winding up or dissolution applicable to associations or foundations, among others. It further lays down the rules for registration of foreign corporate bodies as NGOs.
