Companies Act 1967 (Singapore)
The Act lays down the following:
- Provisions, processes and regulatory requirements with respect to a company's incorporation and its powers
- Regulation of shares, debentures and charges
- Duties and responsibilities of directors and officers
- Rights of shareholders
- Conduct of meetings and proceedings
- Operationalization of arrangements, reconstructions, and amalgamations
- Its dissolution
The Act also includes the requirements and powers of foreign companies which conduct business in Singapore. It further enumerates the corporate offenses, as well as their corresponding penalties.
