Companies Act 1967 (Singapore)

The Act lays down the following:

  • Provisions, processes and regulatory requirements with respect to a company's incorporation and its powers
  • Regulation of shares, debentures and charges
  • Duties and responsibilities of directors and officers
  • Rights of shareholders
  • Conduct of meetings and proceedings
  • Operationalization of arrangements, reconstructions, and amalgamations
  • Its dissolution

The Act also includes the requirements and powers of foreign companies which conduct business in Singapore. It further enumerates the corporate offenses, as well as their corresponding penalties.
